These Terms of Service (“Terms”) are a legal agreement between you and APEX Ads Management LLC (“Apex”, “we”, “us”, or “our”) and govern your access to and use of the Apex Ads Management website and platform (together, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Apex is a software-as-a-service platform that helps digital marketing agencies, freelancers, and consultants create, manage, optimise, and report on Google Ads Search campaigns across client accounts they are authorised to manage. Each account may use Review Mode, Custom Automation, or Full Autopilot. The Service analyses, recommends, routes for approval, or executes supported changes according to the mode, schedules, permissions, targets, budgets, and guardrails you configure. The Service connects to Google Ads through the Google Ads API on your authorisation.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.
3. Your responsibilities
When you use the Service, you represent and agree that:
- You have the authority to connect and manage each Google Ads account you link to Apex, and that you have obtained any necessary permissions from the clients or account owners concerned;
- Your use of Google Ads through the Service complies with all applicable Google Ads policies, terms, and requirements, as well as all applicable laws; and
- You are responsible for the advertising campaigns, budgets, and changes you create or approve through the Service, and for the targets, guardrails, operating modes, permissions, and schedules you configure, including the associated advertising spend paid directly to Google. You are responsible for supervising the accounts you manage and can change an account’s operating mode or pause automated execution.
4. Google services and third parties
The Service relies on the Google Ads API and other third-party services. Your use of Google services through Apex is also subject to Google’s applicable terms and policies. We are not responsible for the availability, accuracy, or changes to third-party services, and we may modify or discontinue features of the Service that depend on them. Apex is an independent product and is not affiliated with, endorsed by, or sponsored by Google.
5. Fees and billing
Access to the Service is offered on a subscription basis at $297 USD per month, unless otherwise agreed in writing. Subscription fees are billed in advance on a recurring basis and are exclusive of any applicable taxes, which you are responsible for. This fee covers your use of the Apex platform; it does not include your Google Ads advertising spend, which you pay directly to Google. We may change our fees on reasonable prior notice, with changes taking effect at your next billing cycle.
6. Cancellation
There is no lock-in. You may cancel your subscription at any time, and your access will continue until the end of your current billing period. Except where required by law, fees already paid are non-refundable.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose;
- Attempt to gain unauthorised access to the Service, other accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Service; or
- Reverse engineer, resell, or misuse the Service except as expressly permitted by these Terms.
8. Intellectual property
The Service, including its software, design, and content, is owned by APEX Ads Management LLCand protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights to your own data and the data of the accounts you manage.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that it will produce any particular advertising outcome, including any particular cost per lead or conversion result. Recommendations and supported automated changes are made according to the account configuration you control; you remain responsible for the accounts you manage.
10. Limitation of liability
To the maximum extent permitted by law, Apex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or advertising spend, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold Apex harmless from any claims, damages, or expenses arising from your use of the Service, your content or campaigns, or your breach of these Terms or of any applicable Google or legal requirements.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we are required to do so by law or by a third-party provider. On termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. The state and federal courts located in Wyoming will have jurisdiction over disputes arising out of or relating to these Terms, unless applicable law requires otherwise.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
